Summary:

  • To provide sound and cost effective services on all legal and company secretarial matters, and other matters that could affect the legal or regulatory risks to Generali Life Insurance Malaysia Berhad.

Responsibilities:

1. Legal

  • Provide quality and cost effective services on legal, regulatory and company secretarial matters to achieve management objectives.
  • Provide legal input on the relevant materials provided by the Product Team particularly in respect of compliance to the relevant applicable laws for timely implementation.
  • Draft, prepare, review and comment on standard and non-standard documentation and contracts to achieve management objectives.
  • Manage external lawyers in respect of litigation matters and other outsourced jobs to achieve management objectives. Where required and necessary, review and comment on Board and Board Committee papers to ensure compliance with local and group regulatory requirements.
  • Attend to Directors and shareholders in relation to company secretarial matters including preparation of Annual General Meeting, Board of Director’s meeting, lodgment of statutory forms with Bank Negara Malaysia and Companies Commission of Malaysia.
  • Provide ad-hoc legal advice as and when required by the relevant internal departments.

2. Secretarial

  • Prepare, co-ordinate, liaise and attend to Directors and Shareholders in relation to company secretarial matters including preparation of Annual General Meeting, Board of Director’s meeting, lodgment of statutory forms with Bank Negara Malaysia and Companies Commission of Malaysia.
  • Attend and take minutes of Board of Directors and Board Committee meetings. Timely circulation of the relevant draft minutes internally for review and thereafter to Directors for confirmation.
  • Where required, timely preparation of extract of minutes, circular resolutions, preparation for payment of fees to directors & any service providers and any other ad-hoc secretarial matters.
  • Ensure proper record keeping of statutory forms and documents in relation to the Company, Directors and Shareholders in compliance with the relevant laws.
  • Provide sound ad-hoc legal advice as and when required by the relevant internal departments.

Requirements:

  • Bachelor's Degree (LLB, Bar/CLP); Company Secretarial License
  • Minimum 10 years of post-qualifying experience.
  • Experience in corporate, conveyancing, commercial litigation and secretarial
