Job Description

Corporate Governance & Statutory Compliance

  • Manage and ensure compliance with the Malaysian Companies Act 2016, licensing requirements, and other relevant statutory regulations.
  • Oversee and coordinate compliance and corporate filing requirements across regional/multi-jurisdictional entities (e.g., Singapore, Hong Kong, UK, Indonesia) as required.
  • Maintain, update, and manage corporate statutory records, registers, and internal governance playbooks.
  • Handle instruments signing and execution with CSuite and Board Members
  • Handle the digital filing of corporate documents, including the coordination of agreements under the Malaysian e-stamping system (STSDS) and ensuring correct regulatory categorisation.

Board and Shareholder Management

  • Coordinate on all pre and post meetings matters
  • Prepare and draft agendas, board papers, resolutions, and minutes of meetings

Operational Excellence & Advisory

  • Provide advisory support to internal business units on corporate secretarial practices, structural entities, and governance policies.
  • Leverage digital productivity tools (such as Microsoft 365, Teams, SharePoint, and secure password management systems) to streamline department workflows, build internal tracking lists, and automate routine administrative processes.
  • Liaise effectively with external regulators (e.g., CCM/SSM, LHDN), legal counsels, and external auditors.
  • Coordinate on the notarisation and legalisation of corporate documents
  • Assist in coordination and administration works internally and externally of executive secretary office

Preferred Requirement

  • Minimum of 3-4 years of hands-on experience in corporate secretarial practice, either within a professional services firm or an in-house corporate secretarial department.
  • Proficiency in Microsoft 365 suite (SharePoint, Teams, Lists, Power Automate).
  • Good knowledge of corporate secretarial practice and familiar with Malaysia Companies Act 2016. Knowledge in other jurisdictions will be an added advantage.
  • Good command of English and Bahasa Malaysia
  • Exceptional interpersonal, mediation, and communication skills. Ability to handle strictly confidential information with utmost discretion and professionalism.
